Constitution of Long Island Digital Money Users Group

Article I NAME

The name of this association shall be “Long Island Digital Money Users Group”.

Article II PURPOSE

  • Section 1
    To promote the use of cryptocurrencies and to discuss how to use and understand cryptocurrencies.

Article III MEMBERSHIP

  • Section 1.
    Active membership in this Association henceforth shall be business people actively engaged in their business and professions when joining the Association and shall have all rights and privileges of said Association.
  • Section 2
    Only one profession in each business category will be allowed at any one time. If there is an overlap of services, membership shall be determined at the discretion of the existing member.
  • Section 3
    Perspective members may attend up to two (2) meetings before making a membership decision.

ARTICLE IV MEETINGS

  • Section 1
    Regular meetings of the Association shall be held every Thursday morning with the exception of any holidays that may fall on a Thursday. Meetings are automatically cancelled due to inclement weather if the Middletown School District is closing or on a delay.
  • Section 2
    Visitor meetings will be held in May and October.

ARTICLE V OFFICERS, EXECUTIVE COMMITTEE

  • Section 1
    The elected officers of this Association shall be President, Vice-President, Second Vice-President-Membership, Recording Secretary and Treasurer.
  • Section 2
    The Constitution may be amended at any regular meeting by a two-thirds vote of the members present.
  • Section 3
    One-third of the current membership shall constitute a quorum at any regular meeting.

BY-LAWS

Article I MEMBERSHIP, ATTENDANCE, RESIGNATIONS

  • Section 1
    There shall be two types of membership:
    • a. Full Year
    • b. Half Year
  • Section 2 ATTENDANCE
    No more than 2 absences per month, unless otherwise excused by the board. If the current member is unable to attend, a representative for their business may take their place.
  • Section 3 RESIGNATION
    All resignations must be in writing to the President or Membership.

ARTICLE II OFFICERS AND THEIR DUTIES

  • Section 1 PRESIDENT
    • a. The President shall preside at all regular meetings of the Association and Executive Committee.
  • Section 2 VICE-PRESIDENT
    • a. The Vice-President shall perform any and all duties of the President in the event of his/her absence or disability.
    • b. The Vice-President shall be responsible for scheduling presentations and shall assume such other duties as assigned to him/her by the Executive Committee.
  • Section 3 SECOND VICE-PRESIDENT - MEMBERSHIP
    • a. Second Vice-President-Membership shall serve as Chairman of the Membership Committee.
    • b. Membership Chair shall perform any and all duties of the President in the event of his/her absence and disability and the absence and disability of the Vice-President.
    • c. Records of new members and attendance of the entire membership shall be kept by the Membership Chair.
    • d. Membership Chair is responsible for new member packets.
    • e. Membership Chair is responsible for coordinating Visitor’s Day.
  • Section 4 RECORDING SECRETARY
    • a. The Recording Secretary shall attend, distribute and keep the minutes of all meetings of the Association and the Executive Committee.
    • b. The Recording Secretary shall keep the records of member’s referrals.
  • Section 5 TREASURER
    • a. The Treasurer shall receive and dispense the finances of the Association – subject to approval of the Executive Committee and the members present.
    • b. Deposits of the Association’s funds shall be made in such bank or depository as designated by the Executive Committee.
    • c. Full and accurate accounts of all receipts and disbursements must be recorded and such books are to be available at any reasonable time to any authorized member of the Association and/or members of the Executive Committee.
    • d. The Treasurer shall notify all members delinquent in his or her dues.

ARTICLE III DUTIES OF THE EXECUTIVE COMMITTEE

  • Section 1
    The Executive Committee shall be vested with the authority for the management of the Association, shall supervise said Association’s affairs and devise measures for its growth and prosperity.
  • Section 2
    The Executive Committee shall transact any business of the Association.
  • Section 3
    In case of emergency, the President may call upon members of the Executive Committee for their majority opinion.

ARTICLE IV COMMITTEES

Unless otherwise determined by the Executive Committee, there shall be, in addition to the Executive Committee, the following standing committees.

  • Section 1 NOMINATING COMMITTEE
    The Nominating Committee shall consist of the last available Past-President and the last available Chairman of the Nominating Committee and one (1) member who shall be elected at the January meeting and charged with the responsibility of presenting a slate of officers for consideration at the November meeting and election at the December meeting.

ARTICLE V SPECIAL COMMITTEE

  • Section 1
    The President with the approval of the Executive Committee may appoint any committees deemed necessary.

ARTICLE VI NOMINATION, ELECTIONS AND VOTING

  • Section 1
    By the order of the President, all members shall receive written notice from the Recording Secretary seven (7) days prior to the first December meeting. At this time, the Nominating Committee shall present, in writing, the slate of officers for election.
  • Section 2
    Officers shall be elected by majority vote of members present at the annual meeting in December, and shall continue in office for one (1) year or until the installation of officer’s elected at the next annual election. Officers shall be installed at the last December meeting and shall assume their duties January 1st.
  • Section 3
    Association Members shall be entitled to one vote. Voting by proxy shall not be permitted. Decisions shall be made by voice or ballot of the majority of those present.
  • Section 4
    Vacancies in office may be filled for the unexpired term by the decision of the Executive Committee.

ARTICLE VII MEETINGS

  • Section 1
    The membership shall convene for a breakfast meeting, the hour to be announced, followed by a planned program and business meeting.
  • Section 2
    Special Meetings of the Executive Committee may be called at the discretion of the President.

ARTICLE VIII QUORUMS

  • Section 1
    One third of the membership shall constitute a quorum at any regular meeting.
  • Section 2
    A majority of the Executive Committee shall constitute a quorum.

ARTICLE IX FISCAL YEAR

  • Section 1
    The fiscal year shall be from January 1 to December 31.

ARTICLE X DUES

  • Section 1
    The annual dues shall be fixed by the members upon the recommendation of the Executive Committee. Dues are non-refundable.
  • Section 2
    Dues shall be payable by January 31st of every fiscal year (January-December). Members in arrears will be contacted by the Treasurer, and then billed by the Treasurer and, if still delinquent, membership will be terminated February 15th.
  • Section 3
    A new member will be required to pay dues upon submission of their application, pending acceptance and approval of membership by the Executive Committee.

ARTICLE XI DEPOSITS AND AUDITS

  • Section 1
    All fund of the Association deposited in a bank or depository shall be in the name of “Long Island Digital Money Users Group” and all withdrawals from such accounts shall be made only by check or similar orders designated for such purposes, signed by any two of the following: President, Vice-President, Treasurer.
  • Section 2
    The accounts of the Association shall be audited at the end of each fiscal year. The Auditor shall be appointed by the Executive board at the third (3rd) February meeting.

ARTICLE XII BY-LAWS

  • Section 1
    The By-Laws of the Association shall be reviewed every five (5) years. Revision of the By-Laws may be made at any regular business meeting by a two- thirds vote of the members present (if a legal quorum has been declared), provided notice of the proposed revision shall be given.

ARTICLE XIII PARLIAMENTARY PROCEDURE

  • Section 1
    All proceedings of this Association shall be conducted under and pursuant to Robert’s Rule of Order revised except as herein otherwise provided.
